Fenway Sports Group (FSG) has entered into a definitive agreement to sell a minority equity stake in Liverpool FC to 1892 Holdings, a consortium led and managed by Amit Bhatia, in a move that brings a group of prominent international investors into the club’s ownership structure.

The consortium comprises investments from Bhatia and the Mittal Family Trusts, K5 Sports, a K5 Global Fund with Amazon founder Jeff Bezos as its lead investor, and EE Capital, the family office of Elaine and Eduardo Saverin.

FSG will retain majority ownership and operational control of Liverpool, with the new investors expected to work alongside the club’s existing leadership to assess opportunities aimed at strengthening its objectives both on and off the pitch.

Mike Gordon, FSG President, said, “Liverpool has always been built by thinking beyond one season and making decisions with the club’s long-term interests in mind. That approach continues to attract interest from respected investors and business leaders around the world.

“As we considered this opportunity, it became clear that Amit and the consortium shared our long-term philosophy and appreciation for what makes Liverpool special. Their experience and perspective will complement the strong foundation already in place, and we look forward to working together.”

Amit Bhatia, on behalf of 1892 Holdings, added, “We are incredibly proud to be investing in Liverpool Football Club and to be doing so alongside FSG. We have the utmost respect and admiration for FSG as owners and for everything they have achieved at Anfield.

“To be welcomed as a partner in a club of this stature is a huge privilege. We are making this investment because we believe deeply in Liverpool and its leadership, and we look forward to supporting the club’s continued success for years to come.”

The transaction adds further high-profile financial and business expertise to Liverpool’s ownership ecosystem. Bhatia brings experience from football ownership, having previously been involved with Queens Park Rangers, while the consortium also links Liverpool to the global investment networks associated with the Mittal family, Bezos and Saverin.

The financial terms and exact size of the minority stake were not disclosed by FSG. However, reports have indicated that the investment could represent a stake of around 30%, placing Liverpool’s valuation at more than £5 billion.

The transaction was introduced by Corestone Capital Advisors, which facilitated discussions between the parties. FSG and Liverpool were advised by Allen Overy Shearman Sterling, with Deloitte providing support, while 1892 Holdings received legal advice from Latham & Watkins alongside advisory support from PwC and Moelis & Company.

Completion remains subject to regulatory approvals and other customary closing conditions. The agreement reinforces FSG’s strategy of bringing strategic minority capital into Liverpool while maintaining control of the club and its long-term direction.
